Terms of Use

RevCom Pty Ltd operates an online marketplace that connects sellers of surplus mining and industrial inventory with commercial buyers across Southern Africa. RevCom is a marketplace intermediary; unless expressly stated in writing, RevCom is not the seller of any asset listed on the platform.

The platform is currently in beta. Features may change, be withdrawn or behave unexpectedly, and service levels are not guaranteed. Beta participants should verify all commercial information independently before committing funds.

Accounts are for registered businesses and their authorised representatives. You confirm that you are authorised to bind your organisation, that the information you supply is accurate, and that you will keep your credentials confidential. RevCom may suspend accounts that supply false information.

Suppliers are solely responsible for the accuracy of every listing, including condition, provenance, quantities, serial and part numbers, HS codes, country of origin and hazardous classification. RevCom reviews listings for completeness and obvious compliance risk. That review is not an inspection, certification, valuation or warranty of any kind.

You may not list stolen, encumbered, embargoed, counterfeit or export-restricted goods, nor any item you do not hold clear title to.

A buyer enquiry is a request for a quotation and is not an offer to purchase. A supplier quotation is an offer capable of acceptance and remains valid until its stated validity date. When a buyer accepts a quotation, RevCom raises an order reference recording the agreed commercial terms between the two parties. The resulting contract of sale is between the buyer and the supplier.

Suppliers pay a listing subscription of BWP 500 per month and a success fee of between 7% and 15% of order value, banded by transaction size. The applicable band is shown before a listing or quotation is submitted.

Buyers pay through RevCom. We hold the payment on the buyer's behalf and release the seller's settlement, less the success fee, once the buyer confirms the goods were delivered in good order or a dispute is resolved in the seller's favour. If a buyer does not respond within seven days of delivery, RevCom may release the funds to the seller. Fees exclude VAT unless stated.

You may not circumvent the platform to avoid fees on an introduction made through RevCom, scrape or resell platform data, misrepresent your identity, or use the platform for money laundering, sanctions evasion or any unlawful purpose.

To the fullest extent permitted by law, RevCom is not liable for indirect or consequential loss, loss of profit, or loss arising from the condition, delivery, title or fitness for purpose of any asset traded on the platform. RevCom's aggregate liability to any user is limited to the fees that user paid to RevCom in the three months preceding the claim.

RevCom may suspend or terminate access for breach of these terms, suspected fraud, or a regulatory requirement. You may close your account at any time; obligations accrued before closure survive.

You warrant that neither you, your beneficial owners nor your counterparties are subject to UN, EU, UK, US or Botswana sanctions, and that no asset traded through the platform breaches export-control, dual-use or embargo rules. You will comply with applicable anti-bribery, anti-corruption and anti-money-laundering law, and will provide beneficial-ownership and source-of-funds information on request. RevCom may refuse, pause or reverse any transaction on sanctions or AML grounds.

Each party is an independent controller of the personal information it handles through the platform. Contact details you receive about a counterparty may be used solely to conclude and perform that transaction, must be kept secure, and must not be added to marketing lists or resold. Our own processing is described in the Privacy Notice and Cookie Notice. You will notify RevCom without undue delay of any breach affecting data obtained through the platform.

RevCom owns the platform, its branding and its compiled data. You keep ownership of the listing content you upload and grant RevCom a non-exclusive, royalty-free licence to host, display, resize and promote that content in connection with the marketplace. You warrant that you hold the rights to every image, document and specification you upload.

You indemnify RevCom against claims, losses and reasonable legal costs arising from your listings, your breach of these terms or of applicable law, defects in or title to assets you sell, and any personal information you misuse.

The platform is provided "as is" and "as available" during beta. RevCom does not warrant uninterrupted availability, error-free operation, or the accuracy, quality or legality of user-supplied content. Nothing in these terms excludes liability for fraud, wilful misconduct, death or personal injury, or any liability that cannot lawfully be excluded.

The parties will first attempt to resolve any dispute in good faith within 30 days of written notice. Failing that, the dispute is referred to mediation in Gaborone, and if still unresolved to arbitration under the Botswana Institute of Arbitrators rules by a single arbitrator, in English, seated in Gaborone. Either party may still seek urgent interim relief from a court.

RevCom may amend these terms and will notify account holders at least 14 days before material changes take effect; continued use after that date constitutes acceptance. Notices are given by email to your account address. If a clause is held unenforceable, the remainder stands. You may not assign your rights without our written consent. These terms, with the Privacy Notice, Cookie Notice and (for suppliers) the Seller Agreement, form the entire agreement between us.

These terms are governed by the laws of the Republic of Botswana, and the courts of Botswana have exclusive jurisdiction over any dispute arising from them.
