Seller Agreement

You appoint RevCom as a non-exclusive marketplace channel to present your surplus inventory to registered buyers. RevCom does not take title to, possession of, or risk in your assets.

For every listing you warrant that you hold clear and unencumbered title, that the asset is free of liens and third-party claims, that its stated condition, hours, service history and provenance are accurate, and that the asset is not subject to export restrictions or sanctions.

Before your first sale you must supply company registration (CIPA or equivalent), a valid tax clearance certificate, and proof of banking details. RevCom may request proof of ownership for individual assets. Verified suppliers carry a verification badge on their listings.

Listing subscription: BWP 500 per month per active supplier account.

Success fee, applied to accepted order value: 15% up to BWP 50,000; 12% from BWP 50,001 to BWP 250,000; 8% from BWP 250,001 to BWP 1,000,000; and 7% above BWP 1,000,000. The applicable rate and your net proceeds are shown before you submit a listing or quotation.

You will respond to buyer enquiries within three business days, honour quotations until their stated validity date, and dispatch within the lead time you quoted. Delivery terms follow the INCOTERMS 2020 rule selected on the listing.

Until card payments are switched on, buyer payment is settled directly with you and RevCom invoices the success fee once the order is marked delivered, payable within 14 days. When platform-managed payments launch, the success fee will be deducted before disbursement of net proceeds.

Where RevCom introduced a buyer to you, the success fee applies to that transaction and to repeat orders of the same asset class for twelve months after the introduction, whether or not the order is placed through the platform.

Assets are sold as described. Where an asset materially differs from its listing, you will accept return and refund. RevCom may mediate at its discretion and may withhold or reverse fees on a disputed order.

You warrant that you, your directors and your beneficial owners are not sanctioned parties, that assets are not export-restricted or dual-use without the required permits, and that you comply with anti-bribery and anti-money-laundering law. You will supply beneficial-ownership, source-of-funds and proof-of-title evidence on request, and RevCom may suspend listings or withhold fees pending screening.

Hazardous, pressurised, radioactive-source, battery or fuel-bearing assets must be declared with their classification, and shipped with the applicable safety data sheets, permits and packaging. You are responsible for decontamination, purging and safe isolation before dispatch.

Buyer contact details you receive through the platform may be used only to quote and perform that transaction. You are an independent controller of that information, will keep it secure and confidential, will not use it for marketing without consent, and will notify RevCom without undue delay of any breach.

You grant RevCom a non-exclusive, royalty-free licence to display and promote your listing content, and you warrant you hold the rights to it. You indemnify RevCom against claims arising from your listings, title defects, non-delivery, regulatory breach or misuse of buyer data.

RevCom may remove listings or suspend your account for inaccurate listings, unpaid fees, repeated non-response to enquiries, circumvention, or suspected fraud or sanctions exposure.

Disputes follow the escalation, mediation and Gaborone-seated arbitration process set out in the Terms of Use, and this agreement is governed by the laws of the Republic of Botswana.

Either party may terminate on 30 days' written notice. Fees accrued on orders placed before termination remain payable.
